Terms of Service

Please read these Terms of Service carefully before using the StockPro SaaS Platform. By accessing or using our Service, you agree to be legally bound by these terms.

By accessing, registering for, or using the StockPro SaaS Platform ("Service"), operated by Lerony Co. Ltd ("Company," "we," "our," "us"), you ("User," "Customer," "Tenant") acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms").

If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" and "your" will refer to that entity.

If you do not agree to all provisions of these Terms, you must immediately discontinue use of the Service and close your account.

These Terms apply to all features, modules, APIs, and connected services that form part of the StockPro platform, including inventory management, point-of-sale, invoicing, reporting, client portals, and the Super Admin console.

The following definitions apply throughout these Terms:

Platform / Service The StockPro SaaS application, including all web interfaces, APIs, mobile-accessible pages, and related services.
Tenant Any registered business entity that has been approved and granted access to an isolated instance of the platform.
Super Admin Lerony Co. Ltd staff with elevated access to the platform control panel for managing tenants, approvals, and configurations.
Business Admin The primary administrator account created during tenant onboarding, responsible for managing users within their business scope.
Business Data All inventory records, product listings, invoices, sales transactions, client data, and financial reports stored under a specific business_id.
Subscription Plan The paid tier (Starter, Pro, or Enterprise) that determines the feature set and usage limits available to a Tenant.
business_id Scoping The technical mechanism by which all database queries are filtered to include only data belonging to a single Tenant, ensuring no cross-tenant data leakage.
Activation The process by which a new Tenant account is reviewed and approved by a Super Admin, granting full platform access.

To use the Service, you must complete the onboarding process, provide accurate and complete information, and receive activation approval from a Super Admin. By registering, you represent that:

  • You are at least 18 years of age or the age of legal majority in your jurisdiction
  • The business information you provide (name, TIN, email, phone) is truthful, accurate, and current
  • You are authorized to conduct business in your country of registration
  • Your use of the Service does not violate any applicable laws or regulations
  • You will maintain the security of your credentials and notify us immediately of any unauthorized access

Pending Activation: All new accounts enter a "Pending" status after registration. Access to full platform features is only granted upon Super Admin review and approval. We reserve the right to decline any application without disclosure of the specific reason.

You are responsible for all activities conducted under your account and all accounts of users you create within your tenant. This includes all Business Admins, Branch Managers, Cashiers, and Inventory Managers you provision.

StockPro operates on a shared multi-tenant architecture where all tenants share underlying infrastructure resources (compute, database server, storage), while their data is kept strictly separate through business_id scoping applied to every database query.

While we employ strong technical safeguards, you acknowledge that the platform uses logical rather than physical database separation. We commit to applying industry best practices to prevent unauthorized cross-tenant access.

You agree not to attempt to access, read, copy, manipulate, or interfere with data belonging to any other tenant. Any such attempt constitutes a material breach of these Terms and may result in immediate account termination and legal action.

StockPro offers tiered subscription plans. The features available to your account depend on your active subscription plan as approved during onboarding. Plan details, pricing, and limitations are published on our website and may be updated with notice.

Subscription fees are due as agreed at the time of activation. Failure to remit payment may result in account suspension after reasonable notice. All fees are non-refundable except as expressly stated in a separate agreement or required by applicable law.

We reserve the right to modify pricing with at least 30 days' written notice sent to your registered email address. Continued use after the notice period constitutes acceptance of the new pricing.

You agree to use the Service only for lawful business purposes consistent with its intended function as an inventory, sales, and business management platform. The following activities are strictly prohibited:

Attempting to access other tenants' data or bypass business_id scoping
Reverse engineering, decompiling, or extracting platform source code or logic
Automated scraping, load testing, or denial-of-service attacks on the platform
Using the platform to facilitate money laundering, fraud, or tax evasion
Reselling, sublicensing, or white-labeling the Service without written authorization
Uploading malicious files, scripts, or content that could harm the platform or other users
Storing illegal content, personal data of minors without consent, or regulated financial data beyond your license
Connecting unauthorized third-party applications to the API without prior written approval

Violation of this policy may result in immediate account suspension, data preservation for legal proceedings, and/or reporting to relevant authorities.

The StockPro platform, including all software code, algorithms, user interface designs, logos, branding elements, documentation, and underlying methodologies, is the exclusive intellectual property of Lerony Co. Ltd and is protected by applicable copyright, trademark, and intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business operations during the term of your active subscription. This license does not include:

  • The right to copy, reproduce, or distribute any part of the platform
  • Creating derivative works based on the platform's design or functionality
  • Removing, altering, or obscuring any copyright, trademark, or proprietary notices
  • Using brand assets (StockPro logo, name) without written authorization

Your Business Data (inventory records, client lists, invoices, etc.) remains your intellectual property. We claim no ownership over data you input into the Platform.

You retain full ownership of all Business Data you input, upload, or generate within the Platform. We do not claim any rights to your data and will not use it for any purpose other than delivering the Service to you.

Upon written request or account termination, we will provide you with a data export in a machine-readable format (CSV/JSON) containing your business records within 14 business days. After 60 days past account termination, data may be permanently deleted from our servers.

Data retention policy: Active tenants' data is backed up daily and retained for a minimum of 30 days. Backup archives are stored in encrypted storage separate from live data.

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described therein.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must:

  • Use strong, unique passwords for your account and encourage your users to do the same
  • Never share your Super Admin or Business Admin credentials with unauthorized parties
  • Notify us immediately at info@lerony.com if you suspect unauthorized access
  • Log out of sessions on shared or public devices after use

We strive to maintain high availability of the Service. However, we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:

Scheduled Maintenance
Announced at least 48 hours in advance via email notification
Emergency Patches
Critical security fixes applied with minimal notice
Infrastructure Events
Force majeure events, ISP issues, or upstream provider outages

Our target uptime is 99.5% monthly, measured excluding scheduled maintenance windows. Credit claims for downtime below this threshold must be submitted in writing within 15 days of the incident.

We provide technical support via email and in-platform documentation. Support is available during our standard business hours (Monday–Friday, 08:00–18:00 CAT). Support response times vary by plan tier:

  • Starter: Best-effort response within 5 business days
  • Pro: Response within 2 business days
  • Enterprise: Priority response within 1 business day with dedicated Super Admin contact

We reserve the right to update, patch, or modify the platform at any time to fix bugs, improve security, or add features. We will communicate significant changes that affect workflow via email notification.

By You: You may terminate your account at any time by submitting a written request to our support team. Your data will be available for export for 30 days following termination, after which it will be permanently deleted.

By Us: We may suspend or terminate your account immediately and without prior notice if:

  • You materially breach these Terms and fail to remedy the breach within 7 days of notice
  • Your account is involved in fraudulent activity, abuse, or illegal conduct
  • Payment is overdue by more than 30 days after written notice
  • Continued operation of your account poses a security risk to the platform or other tenants

Upon termination, all licenses granted to you immediately cease. Sections covering data ownership, intellectual property, and limitation of liability survive termination.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

In no event shall Lerony Co. Ltd, its directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any and all claims arising from use of the Service shall not exceed the total fees paid by you in the 3 months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow limitation of liability for certain types of damages. In such jurisdictions, our liability shall be limited to the minimum extent permitted by law.

You agree to defend, indemnify, and hold harmless Lerony Co. Ltd and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service in violation of these Terms
  • Your Business Data or content that violates any third party rights or applicable law
  • Any actions taken by users you have provisioned within your account
  • Your negligent or fraudulent use of the platform

These Terms shall be governed by and construed in accordance with the laws of the Republic of Rwanda, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to mediation under the rules of the Rwanda Arbitration Centre before any litigation is commenced.

Legal proceedings, if necessary, shall be conducted exclusively in the courts of Kigali, Rwanda. You consent to the personal jurisdiction of such courts for this purpose.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify registered Business Admins via email at least 14 days before the changes take effect. For non-material changes (such as clarifications or corrections), updates may take effect immediately.

The "Last Updated" date at the top of this page will always reflect the most recent revision. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

We recommend reviewing these Terms periodically. Archived versions of previous Terms are available upon written request.

All legal notices under these Terms shall be sent in writing to the addresses below. Email notices will be deemed received within 24 hours of sending. Postal notices will be deemed received 5 business days after posting.
